Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of NSOLVIA's products and services — including NSOLVIA DATA, the Agentic Catalog Readiness Audit™, the NSOLVIA sales assistant, catalog optimization services, and related features ("the Services"). By creating an account, connecting a store, or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. The Services
NSOLVIA makes product catalogs understandable to machines — search engines, AI assistants, and commerce platforms. Depending on the product you use, the Services may read your published catalog, enrich it, deliver it to commerce platforms, publish structured data to your store, or answer your shoppers' questions grounded in your own catalog. Each product works as described at the time of purchase.
3. Your data, your store, and the license you grant us
You own your data. We claim no ownership over your products, content, brand, or catalog. You grant NSOLVIA a limited license to read, ingest, store, normalize, enrich, distribute, and — where the product you purchased requires it — write and publish catalog-derived data to your store and to the destinations you select, solely to operate the Services for you. Writing to your store happens only under products you have purchased and instructions you have given (for example, catalog optimization). We never modify the human-facing text of your store unless the product explicitly says so and you have enabled it.
4. Store access and credentials
Some Services require access credentials (such as a platform API key or an installed snippet) to read from or write to your store. You are responsible for providing credentials you are authorized to use. We treat your credentials as confidential, store them protected, use them only to operate the Services, and delete them when your account is deleted. You may revoke access at any time from your store platform.
5. Acceptable use
You agree to:
- Submit or connect only catalogs and stores you own or are authorized to use.
- Not use the Services to infringe intellectual property, violate laws, or transmit malicious content.
- Not attempt to reverse-engineer, scrape, overload, or circumvent the security of the Services.
- Maintain the security of your account credentials.
6. Plans, fees and billing
Fees are as described at checkout. Subscriptions renew automatically until cancelled; you may cancel at any time — cancellation stops future billing and access continues until the end of the paid period. One-time products are billed once at the price shown and delivered per the product description. Fees are non-refundable except where required by law or stated in a product's refund terms. We may change pricing with reasonable notice; changes apply at your next renewal.
One-time services. Some services (such as the Agentic Catalog Optimizer's Initial Remediation) are one-time engagements billed once. One-time fees are non-refundable once work has begun. Enrichment already written to your store at the time of any cancellation remains in your store and is yours to keep or remove.
Effect of cancellation by product. When you cancel a subscription, the effect depends on the product: for AI-Ready Commerce Feeds™, your feed URLs stop serving at the end of the paid period; for Optimizer Care, monitoring and upkeep stop, and enrichment already written to your store is not reverted; for NSOLVIA Agentic Seller™, the assistant stops responding at the end of the paid period. Cancellation never removes data from your store.
Free plans. Free plans (such as Feeds Free-10) require no payment method and may be modified, converted to a paid plan only with your consent, or discontinued by NSOLVIA at any time with reasonable notice.
7. Third-party platforms
The Services interact with third-party platforms (commerce platforms, advertising platforms, AI assistants). We are not responsible for those platforms' policies, availability, acceptance of data, or outcomes. Your use of those platforms is governed by their own terms.
8. No guarantee of results
NSOLVIA improves how machines read and understand your catalog. We do not guarantee any specific ranking, placement, traffic, sales, or revenue outcome — on search engines, AI assistants, or any other channel. Results vary based on catalog quality, platform behavior, and factors outside our control.
9. Shopper interactions (sales assistant)
Where you install the NSOLVIA sales assistant on your store, it answers your shoppers' questions grounded in your published catalog and pages. It does not invent claims your site does not support. Conversations exist to serve the shopper session; NSOLVIA does not build profiles of your shoppers or use shopper conversations for any purpose other than operating the assistant for you.
10. Limitation of liability
To the maximum extent permitted by law, NSOLVIA is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the amounts you paid us in the three (3) months preceding the claim. The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
11. Intellectual property
NSOLVIA, its product names, logos and marks are the property of NSOLVIA. These Terms grant you no rights in our intellectual property other than the right to use the Services.
12. Termination
You may cancel at any time. We may suspend or terminate access for breach of these Terms, non-payment, or misuse. On termination, your access ends and your data is deleted within 30 days, per the Privacy Policy.
13. Changes to these Terms
We may update these Terms as the Services evolve. Material changes will be notified to account holders by email, and the new effective date posted above. Continued use after changes means you accept them.
14. Governing law
These Terms are governed by the laws of the United States and the state in which NSOLVIA is organized, without regard to conflict-of-law rules.
